These Terms of Service (“Terms”) are the agreement between X3 Fleet Safety LLC, a Michigan limited liability company (“X3,” “we,” “us”), and the company that creates an X3 Pipeline account (“Customer,” “you”). By creating an account, ticking the box to accept these Terms, or using the Services, you agree to them on behalf of your company. If you do not agree, do not use the Services.

1. The Services

X3 Pipeline is software for pipeline operators regulated under 49 CFR Parts 190 to 199. It is made up of nine products. Each one helps you organize one part of your pipeline safety, integrity and compliance work: tracking obligations and due dates, keeping records, preparing documents and showing what is overdue. You enter your pipeline systems, people and assets once, and the products you subscribe to use them.

2. Decision support, not advice

The Services are decision support only. Nothing in the Services, including due dates, statuses, citations, checklists, templates, drafts, risk scores and Ask X3 answers, is legal advice, engineering advice or any other professional advice. X3 is not a law firm or an engineering firm.

X3 is not affiliated with, endorsed by or acting for the Pipeline and Hazardous Materials Safety Administration (PHMSA), the U.S. Department of Transportation, or any state pipeline safety agency or commission. A status in the Services is not a finding by any regulator. Regulations, interpretations and state rules change; always check the current, controlling regulation and your own written procedures.

3. What stays your responsibility

You remain fully responsible for operating your pipelines safely and for meeting every legal duty that applies to you. In particular, your qualified people, not X3, decide:

  • which regulations, sections and intervals apply to each of your systems, segments and facilities;
  • how to classify segments, high consequence areas, anomalies, leaks and conditions, and what repairs or pressure reductions are needed;
  • whether an event is an incident or accident, a safety-related condition or anything else that must be reported, and when;
  • when to call the National Response Center and any state agency, and making those calls;
  • preparing, checking and submitting every PHMSA and state report, filing and notice.

Where a screen helps you prepare a report, a notice or a record, it is a draft prepared for you to review and submit. X3 does not file reports, call the National Response Center, notify regulators, contact emergency services or notify the public for you. In an emergency, follow your emergency plan and call 911.

You are also responsible for the accuracy and completeness of the information you enter. The Services can only work from what you give them.

4. No connection to SCADA or field equipment

X3 does not connect to, read from, write to or control your SCADA system, control room systems, valves, rectifiers, pumps, compressors or any other field equipment. Nothing in the Services opens, closes, starts, stops or changes anything on your pipeline. Readings and records in the Services are what you or your people enter or import.

5. Accounts and users

The Services are for business use by people authorized to act for a pipeline operator or its contractors. You are responsible for everyone who uses your account, for keeping sign-in details confidential, and for keeping your account details accurate. Tell us promptly at support@x3fleetsafety.com if you think your account has been used without permission.

6. Subscriptions, prices and renewal

  • Priced per mile. Each product, and the bundle of all nine, is priced by the regulated miles of pipe on your account. Each price has a monthly minimum that covers your first 100 miles, then a set amount for each mile after that. The price for the miles you enter is shown before you pay.
  • Monthly or yearly. You can pay monthly, or yearly at the price shown for the year.
  • Automatic renewal. Subscriptions renew automatically at the end of each month or year until you cancel. By subscribing you authorize us, through our payment processor, to charge your payment method for each renewal.
  • Accurate miles. You agree to keep your mileage accurate. If your regulated miles grow, your price may be updated to match from the next billing period.
  • Payments by Stripe. Payments are processed by Stripe. We never see or store your full card number.
  • Price changes. We may change prices for future billing periods. We will tell you before a change applies to you, and you can cancel before it takes effect.
  • Taxes. Prices do not include taxes unless stated. You are responsible for any taxes that apply.
  • Large systems. For more than 2,500 miles, plans are set up with our sales team at sales@x3fleetsafety.com, and any written order we agree with you also applies.

7. Cancelling and refunds

You can cancel at any time from Plan & Billing in your account, which opens the Stripe billing portal. Cancelling stops the next renewal; you keep access until the end of the period you have already paid for. We do not give refunds or credits for partial months or years, or for unused time, except where the law requires it. If a payment fails, we may pause access to paid products until it is resolved.

8. Your data

You own your data. Everything you enter or upload, including your systems, people, assets and records (“Customer Data”), belongs to you. You give X3 a limited permission to store, process and display Customer Data only to provide, secure and support the Services for you. We do not sell Customer Data and do not use it to train AI models.

Customer Data is stored on Cloudflare infrastructure in the United States. You are responsible for having the right to enter the data you enter, including information about your employees and contractor workers, and for keeping the records the law requires you to keep. Please do not enter information the Services do not ask for, such as medical records or government ID numbers. Our Privacy Policy explains how we handle personal information.

9. AI features (Ask X3)

Ask X3 and other AI-assisted features use a third-party AI provider to answer questions. AI answers may be wrong, incomplete or out of date. They are a starting point, not a conclusion. Verify every answer against the regulation and your procedures before you rely on it, and have a qualified person make the decision.

10. Text message reminders

Text message reminders are optional and are sent only if you opt in. Message frequency varies. Message and data rates may apply. Reply STOP to any message to stop receiving them, or HELP for help. You can also turn reminders off in Profile & Password. Opting in is not a condition of buying anything.

11. Acceptable use

You agree not to:

  • use the Services for anything unlawful, or enter personal data without the authority the law requires;
  • try to break, probe, overload, reverse-engineer or get around the security or limits of the Services;
  • upload malware, or anything you do not have the right to share;
  • share sign-in details outside your organization, or resell or sublicense the Services;
  • use the Services to build a competing product, or scrape or copy them in bulk;
  • present output from the Services as a decision or approval by X3 or by any regulator.

We may suspend access that breaks these rules or puts the Services or other customers at risk.

12. Security

We protect the Services with reasonable administrative and technical safeguards. Data is encrypted in transit, and passwords are stored only as salted hashes, never in plain text. No system is perfectly secure, so we cannot guarantee security. If we learn of a security breach affecting your Customer Data, we will tell you without undue delay and as the law requires.

13. Our software and content

X3 owns the Services and everything in them other than Customer Data, including the software, design, checklists, templates and written guidance. While your subscription is active, we give you a non-exclusive, non-transferable right to use the Services for your own business. Feedback you give us may be used without restriction or payment.

14. Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent the law allows, X3 disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. X3 does not promise that the Services will be uninterrupted or error-free, that any due date, citation, status or answer is correct for your situation, or that using the Services will satisfy any regulatory requirement, pass an inspection, or prevent an incident, release, injury or penalty.

15. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible; and (b) X3’s total liability for all claims arising out of or relating to the Services or these Terms will not exceed the fees you paid X3 in the twelve (12) months before the event giving rise to the claim. Some places do not allow these limits, so they may not fully apply to you.

16. Indemnification

You will defend and indemnify X3 against third-party claims arising from your operation of your pipelines, your Customer Data, your unlawful use of the Services, or your breach of Sections 3, 8 or 11. X3 will defend and indemnify you against third-party claims that the Services, as we provide them, infringe someone’s intellectual property rights.

17. Ending the agreement

You may stop using the Services and cancel at any time. We may suspend or end your account for non-payment or a material breach of these Terms, and we will tell you when we do. After your account ends you can ask for an export of your Customer Data for 30 days. After that, or sooner if you ask us in writing to delete it, we delete it from our active systems unless the law requires us to keep it. Copies in routine backups are overwritten in the normal backup cycle. Sections that by their nature should survive (including 2, 3, 8, 14, 15, 16 and 18) survive termination.

18. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The state and federal courts located in Michigan have exclusive jurisdiction over any dispute, and both parties consent to them.

19. Changes to these Terms

We may update these Terms. When we do, we will post the new version here with a new effective date. If a change is material, we will ask you to accept the new version when you next sign in, and the change will not apply to a billing period you have already paid for without your agreement. These Terms, our Privacy Policy and any written order we sign with you are the entire agreement between us about the Services. If any part is found unenforceable, the rest still applies. You may not assign these Terms without our consent; we may assign them to a successor of our business.
